We are committed to providing a safe and healthy work environment for everyone, ensuring that our productive, operational, and commercial activities are carried out efficiently and following all established regulations, laws, policies, and procedures. We ensure that our advertising and communications accurately reflect what we offer. In turn, we expect our customers to act with the same level of integrity in their operations.

Employees whose duties involve negotiations or transactions with government agencies must know and comply with each transaction's applicable laws and regulations. Suppose a government agency acts as a supplier of goods or services. In that case, we ensure that the selection and contracting process is carried out under fairness, transparency, and regulatory compliance principles. 

Before establishing any business relationship with a government agency or official, it is mandatory to ensure that you have the appropriate authorization and understand all applicable internal policies, rules, and legal regulations. In case of doubts about the relationship with government entities, collaborators must consult with the legal department to ensure compliance with our standards and avoid any risk of non-compliance. We act with complete transparency and regulatory compliance.

5.- ENVIRONMENT

At MAQUINSA, we carry out our activities sustainably and responsibly, minimizing the environmental impact of our operations. COMPLIANT OPERATIONS

1.- ANTI-CORRUPTION

Zero tolerance for corruption at any level of the company. 

At MAQUINSA, we maintain a zero-tolerance policy toward corruption and bribery. All employees are responsible for acting with integrity and transparency in all our business and government interactions. 

It is strictly prohibited to offer, promise, or provide any incentive, gift, or benefit to government officials or third parties to obtain undue advantages or inappropriately influence decisions. Likewise, accepting or requesting favors, gifts, or any personal benefit that may compromise objectivity or independence in decision-making within MAQUINSA is not permitted. 

No payments or commitments of any kind may be made to obtain permits and licenses, secure business, or influence business decisions, especially those involving government officials. It is also not permitted to hire intermediaries or third parties to carry out these practices on our behalf. 

Before establishing any relationship with third parties, it is mandatory to ensure that they are respectable entities and comply with the principles established in our Code of Conduct. These third parties accept our compliance provisions and sign the Compliance Statement included in our anti-corruption policy. 

Anti-corruption laws can be complex, so in case of doubts about any transaction or business relationship, employees should consult with the legal department. Our responsibility is to ensure that all our operations are ethical, legal, and aligned with our corporate values.

2.- MONEY LAUNDERING

We prevent and report any suspicious activity. 

At MAQUINSA, we are committed to preventing money laundering and ensuring that our operations are not used to cover up the origin of illicit funds from criminal activities. 

We are responsible for recognizing the warning signs and avoiding any transaction that may facilitate this type of practice. 

Money laundering is the process by which the origin of resources obtained through illegal activities, such as drug trafficking, terrorism, bribery, or corruption, is hidden to make them appear legitimate. People involved in these activities seek to integrate these funds into the financial and commercial system to make them difficult to trace. 

If, in the course of our activities, we identify suspicious transactions, clients or business partners who refuse to provide information about their identity or the origin of their funds, we must immediately report it through internal reporting channels or to the legal department. 

At MAQUINSA, we strictly follow all national and international anti-money laundering regulations and provide ongoing training to our employees to ensure compliance with these regulations. It is our duty to act with diligence and responsibility, avoiding any action that may compromise the company's integrity. We prevent and report any suspicious activity. 

3.- COMPLIANCE WITH INTERNATIONAL TRADE AND REGULATORY COMPLIANCE 

We ensure operations comply with international regulations and strictly follow all applicable laws and regulations. 

At MAQUINSA, we operate in a global environment that requires strict compliance with all applicable laws and regulations regarding international trade and regulatory compliance. We are committed to ensuring that all of our operations comply with legal provisions in our countries, including antitrust regulations, trade sanctions, and import and export controls. 

Before engaging in any international trade transaction, it is essential to consult with the legal department to ensure compliance with relevant regulations. We must be aware of any trade sanctions that may affect our operations, as these regulations can change frequently and affect our domestic and international business relationships. 

We are also responsible for avoiding any illegal boycott requests or trade restriction practices inconsistent with international law. This means that we cannot take any action or provide information that could be construed as participation in an illegal foreign boycott. 

As a company committed to ethics and transparency, we treat all government representatives respectfully and honestly. Any requests for information or documents from government entities must be coordinated with the legal department to ensure proper and compliant handling. 

Leaders of each business unit must be informed about the laws and regulations that govern their operations and ensure that their teams comply with them rigorously. At MAQUINSA, integrity and regulatory compliance are the basis of our operations and all collaborators' commitment. We guarantee operations in compliance with national and international regulations. 

RESPONSIBLE DECISION-MAKING

1.- CONFLICTS OF INTEREST

We prioritize transparency in all our business and personal relationships. 

At MAQUINSA, the mere appearance of a conflict of interest can affect our reputation and compromise trust in our company. It is essential that all employees avoid situations in which their interests may interfere with their professional responsibilities. 

We must not participate in agreements or businesses that directly or indirectly compete with MAQUINSA. 

Likewise, using our position within the company is prohibited from obtaining personal benefits or undue advantages, such as gifts, loans, investment opportunities, outside employment, contracts, or individual transactions. 

The hiring of family members or friends must follow a merit-based process, ensuring that they are the most qualified candidates and comply with established selection procedures. Candidates may be recommended to Human Resources in writing, but no attempt should be made to influence the hiring process, promotions, or compensation decisions involving them. In addition, we must avoid direct or indirect supervisory relationships (up to two levels in the hierarchy) with family members or friends to prevent favoritism or conflicts of interest. 

Conflicts of interest can arise anytime, including changes in position or promotions. Therefore, it is important to be alert to any possible situation that may compromise impartiality in decision-making. If in doubt, employees should consult with their supervisor or the Human Resources department to ensure that all actions are carried out with integrity and by our policies. We prioritize transparency in all our business and personal relationships. 

2.- GIFTS AND COURTESIES 

We do not permit practices that may compromise our objectivity. 

At MAQUINSA, we understand that our stakeholders, including suppliers, contractors, customers, and other third parties, may wish to exchange gifts or extend business courtesies. Accepting or offering gifts does not violate our policies as long as they are reasonable, have a legitimate business justification, and do not seek to influence business decisions improperly. 

It is strictly prohibited to request, accept, or ask for any gift or courtesy that may compromise objectivity in decision-making or may be perceived as an attempt to influence our actions in favor of a third party. Business negotiations should not be structured based on delivering gifts, services, or benefits from customers, suppliers, consultants, or other third parties. 

We may accept only gifts of low or nominal value, such as non-luxurious promotional materials, as long as they comply with standard business practices. Under no circumstances is it permitted to accept cash or cash equivalents. Business courtesies, such as meals or events, may be accepted on certain occasions, provided their cost, frequency, and nature are just and directly related to work purposes. 

When offering gifts or courtesies, it is mandatory to follow MAQUINSA's internal procedures, obtain all necessary authorizations, and ensure that all expenses are recorded transparently and accurately. All gifts, meals, trips, and courtesies must comply with our anti-corruption policy and respect local regulations and the recipient's policies. 

In the case of government officials, any gift or courteousness must be legal, of nominal value, and have a valid business justification. In addition, prior written authorization from the country director, the legal department, and the immediate supervisor will be required. 

Gifts or personal benefits from third parties should not be requested, negotiated, or accepted unless it is an accepted business practice and complies with MAQUINSA's ethical and legal standards. Likewise, it is not permitted to request donations from business partners for charitable or altruistic purposes unless it is an initiative approved by the company in collaboration with other entities. 

At MAQUINSA, we understand that exchanging gifts and business courtesies with suppliers, customers, and other third parties in the business environment is common. However, these gestures must be carried out ethically without compromising our objectivity or creating the perception of a conflict of interest. 

The exchange of gifts and courtesies is permitted as long as: 

  • It is reasonable and has a legitimate business purpose. 
  • It does not seek to influence business decisions improperly. 
  • It does not contravene local regulations or company policies.

It is not permitted to request, accept, or offer gifts, services, or benefits that may compromise the impartiality of decision-making or generate an undue advantage. In particular, it is prohibited to accept cash or any equivalent. 

Promotional gifts of low value may be accepted if they are not ostentatious or recurring. In case of doubts about the appropriateness of accepting or giving a gift or courtesy, employees should consult the legal department or their immediate supervisor. 

At MAQUINSA, we foster an environment of transparency and professionalism in all our business interactions, ensuring that our decisions are made based on merit and the company's best interests. We do not allow practices that may compromise our objectivity.

3.- USE OF COMPANY ASSETS 

We guarantee the proper use of company resources. 

At MAQUINSA, company assets must be used exclusively for work purposes and the organization's benefit. Using these resources for personal gain or to allow them to be misused by third parties is not permitted. 

Each employee is responsible for ensuring company assets' proper use and protection, preventing theft, deterioration, or misuse. Likewise, it is our responsibility to maintain a work environment that is orderly, safe, and in optimal conditions for the efficient performance of our functions. 

Limited personal use of tools such as computers, emails, telephones, and the Internet may be acceptable for specific reasons as long as they do not generate excessive costs or interfere with work responsibilities. However, using company devices and systems to access, store, or distribute content of an offensive, illegal, or inappropriate nature, including discriminatory, intimidating, threatening, or sexually explicit material, is strictly prohibited. 

Failure to comply with these provisions may result in disciplinary sanctions. At MAQUINSA, we promote the responsible use of our resources and ensure that all company assets are used ethically and efficiently to meet our organizational objectives.

4.- POLITICAL ACTIVITIES

MAQUINSA recognizes the right of our employees to participate in the political process in a personal and legal manner within their jurisdiction. However, it is essential that such participation be carried out outside the work environment and without the use of company resources. 

Political activities are not permitted on MAQUINSA premises, corporate funds or resources are not used for these purposes, and they are not allowed to participate during work hours. Likewise, employees must ensure that their political opinions and activities are not interpreted as official statements or positions of the company. 

Political contributions by MAQUINSA, whether direct or through committees or other entities, may only be made if they are legal and have prior approval from the legal department and company management. In addition, any financial or resource support must comply with local laws and applicable regulations. If an employee makes public statements on political issues, they must clarify that this is his or her personal opinion and not MAQUINSA's official position. At all times, it is our responsibility to maintain transparency and regulatory compliance in our relationships with government entities and in any activity related to the political sphere. The use of company resources for political purposes is not permitted.

PROPER MANAGEMENT OF INFORMATION

1.- DATA PRIVACY AND INFORMATION PROTECTION 

We safeguard personal and business data with the highest security standards. 

At MAQUINSA, we protect the privacy and security of the personal information of our collaborators, customers, suppliers, and other third parties. We are committed to complying with all applicable laws and regulations on data protection, guaranteeing confidentiality, integrity, and restricted access to information. 

The proper handling of personal information is essential to maintain trust in our organization and ensure successful business operations. Therefore, any processing of personal data must be carried out fairly, legally, and transparently. Access to such information will only be granted within the company when strictly necessary for legitimate work purposes. 

Collaborators who handle personal information must ensure its protection, avoiding improper disclosures or unauthorized access. In the event that it is necessary to share personal data with third parties for contractual reasons, we ensure that these third parties comply with strict confidentiality and data protection standards. We also have procedures in place to respond to security incidents that may compromise information, such as unauthorized access or data loss. All collaborators must be familiar with these protocols and immediately report any possible vulnerability or incident to the responsible area. 

The information used in our daily activities may include confidential data that must be protected from unauthorized disclosure. Confidential information may only be shared with other MAQUINSA collaborators when strictly necessary, notifying the recipient of its confidential nature. No third party may access this information without proper authorization and the signature of a confidentiality agreement. 

Supervisors are responsible for ensuring that their teams comply with all policies related to information protection. In addition, it is essential to protect our systems and networks, avoiding sharing passwords or allowing accidental access to the company's digital resources. 

When government authorities request confidential information, this can only be provided if the request is made in writing, complies with legal requirements, and is approved by the legal department and other relevant areas. 

Finally, employees have the obligation to protect MAQUINSA's confidential information even after leaving the company, as well as to respect the intellectual property rights and protected data of third parties. Any concerns about the handling of confidential information should be discussed with the immediate supervisor, the legal department, or the company's official channels. 

2.- USE OF PRIVILEGED INFORMATION

We prohibit the improper disclosure of confidential information. 

At Maquinsa, we act with integrity and transparency in all our operational decisions. Therefore, sharing, selling, or promising the distribution of confidential or non-public information that could influence market value is strictly prohibited. Likewise, we do not share, disclose, or offer recommendations based on privileged information, even if we do not seek to obtain direct benefits.

Maquinsa's general management and Legal department manages, registers, and maintains trademarks, patents, and other intangible assets. Therefore, any matter related to intellectual property must be channeled to these areas, avoiding individual actions that may compromise our rights or business strategy. 

At Maquinsa, we respect the intellectual property of third parties and work actively to prevent any misuse that may lead to legal or commercial conflicts. All personnel must refrain from using or sharing protected information from third parties without the proper authorization of the Legal department, thus guaranteeing an ethical operation aligned with the principles of transparency and regulatory compliance that govern us.

If any employee identifies inaccurate or incomplete records or doubts the integrity of a document. In that case, he/she must immediately report it to his/her direct supervisor or the responsible area for correction.

5.- COMMUNICATION AND USE OF SOCIAL NETWORKS 

Communication must be responsible and aligned with the values ​​and strategy of MAQUINSA. 

At Maquinsa, we recognize the power of communication and the importance of projecting our identity with clarity, professionalism, and alignment with our values. Our reputation and the trust of our clients, partners, and collaborators depend primarily on how we share company information. If a stakeholder, customer, supplier, investor, analyst, NGO, or media outlet contact a Maquinsa employee to request information about the company, they must immediately direct the request to the corporate marketing department at ALQUIMARA. Only authorized spokespersons are authorized to provide official information about Maquinsa. 

Without proper approval, no employee is authorized to make external statements about the company's performance, strategies, projects, or any other internal matter. Likewise, we must ensure the confidentiality of the information and ensure that any public presentation or discussion related to our operations has been previously reviewed and authorized by the Communications and Public Relations department. 

In the digital environment, our conduct on social media must reflect Maquinsa's professionalism and values. We must not participate in online activities that may affect the company's reputation or share internal information without authorization. The creation or use of Maquinsa corporate accounts on social networks must have prior approval from the corporate marketing department at ALQUIMARA, and only authorized persons may manage them.
